Code of Ethics

The Cadillac & LaSalle Club, like most corporations, is governed by its board of directors. Board members have an important fiduciary duty to act in the best interest of the organization.

As a member of the Cadillac & LaSalle Club board of directors, I will:

• Take my responsibilities seriously, as befits a member of the governing body of an international organization with over 6,200 members.
• Listen carefully to my board colleagues.
• Respect the opinion of fellow board members, even if I disagree.
• Recognize that a decision approved by the majority is an act of the board.
• Recognize that all authority is vested in the full board, except for responsibilities and powers assigned to the officers or to committees under the Bylaws.
• Keep well informed about developments relevant to issues that may come before the board.
• Prepare for meetings by posting my reports in time for others to read them before the meeting, and reviewing the reports posted by others, so as to make the meeting as efficient as possible.
• Participate in board meetings and actions, and attend meetings unless circumstances make it impossible to do so.
• Bring to the attention of the board any issues I believe will either benefit or have an adverse effect on the organization or its members.
• Attempt to present the actions of the Club to the members with whom I am in contact, and present the views and the needs of those members to the board.
• Refer complaints to the proper level on the chain of authority.
• Recognize that my job is to ensure that the Club is well managed, not to manage the Club.
• Take into account the interests of all Club members, even if I represent a particular Region or Chapter.
• Help to ensure that the Club is well operated, financially secure, growing and serving its members.
• Review and sign annually the Club’s conflict of interest policy, and abstain from voting or discussions when appropriate under that policy.

As a member of the board, I will not:

• Criticize fellow board members or their opinions, in or out of the board room, except for polite disagreements with others’ opinions (when appropriate) in the forum in which the matter is discussed or debated.
• Use the Club for personal advantage, other than the benefits and advantages that come with CLC membership.
• Interfere with the duties of the Club officers or any appointed administrator, employee or contractor of the Club.
• Disparage or undermine the Club by any comments made in public forums, websites, or other media.
• Attempt to undermine or diminish the authority of Club officers, administrators, employees or contractors.

Should I have any criticism or complaint regarding the Club, or about the performance of any of its officers, administrators, employees or contractors, I will communicate it to the appropriate person in order to make the point as constructively as possible, and to avoid damaging the Club’s reputation among the membership or outside parties.
